Because the director, Christopher Nolan, said that the penguin is TOO FAR FETCHED of a character for the universe he created in batman.

and also, if scare crow and the joker aern't too far fetched.. then neither is the penguin.

i think they should bring back jim carrey for riddler. personally i think he can pull of a darker more seasoned riddler this time around since he's done a few more diversified films number 23 and eternal sunshine of the spotless mind which enables him to not act so corny like he was in the first riddler movie
